Who this agreement is with

These terms are between you — and, where you use Foundry365 for a company, that company — and Foundry365.

Foundry365 is Foundry365 Ltd (company number 17367562), registered in England and Wales. Registered office: 124 City Road, London, United Kingdom, EC1V 2NX.

What Foundry365 provides

Foundry365 is Startup Resource Planning software: a place to hold and organise the records of a venture — people, documents, cap tables, board records and investor material.

It is software. It is not legal, accounting, tax or investment advice, and nothing in it should be relied on as such.

Accounts and access

You sign in with a one-time code sent to your email address, or with a passkey. There is no password to lose.

A phone number entered during sign-up is carried only in a signed 10-minute challenge. It is not added to your account and cannot be used to recover access, by you or by anyone claiming to be you.

You are responsible for who you invite into your venture and for what they can see.

Your records stay yours

What you put into Foundry365 belongs to you or your company. We process it to run the service for you, and for nothing else.

The foundation plan

How places are given. Foundry365 is invite-only. We choose which companies to invite, and joining the list does not guarantee a place. We look for companies early enough in their journey that the way they organise themselves still matters — in practice, ventures founded within the last five years.

We will tell you at least 30 days before your free period ends, and we will tell you the price at the same time. If you choose not to continue, your workspace becomes read-only rather than disappearing: you keep access to export everything for 90 days after that date.

The waiting list offer

The first 100. The first hundred companies we invite receive premium access free for two years from the day their workspace opens. An invitation stays open until we fill the hundred places.

If we invite you and you decline, or the offer closes before you accept, we will tell you what the ordinary terms are before you commit to anything.

Acceptable use

Do not use Foundry365 to break the law, to store material you have no right to, or to attack the service or other users.

We can suspend access that puts other ventures' records at risk, and we will tell you why.

Availability

We work to keep Foundry365 available and we monitor it, but we do not offer a contractual uptime guarantee. If we introduce one with a paid plan, it will be published here before it applies.

Ending it

You can close your account at any time.

We can end an account for a serious or repeated breach of these terms, with notice and a reason.

Email privacy@foundry365.org and we will close it. Before we delete anything we will send you an export of your workspace — documents, records and the data behind them — and we will give you 30 days to tell us the export is complete and correct. After that we delete your data from our systems within a further 30 days, and it disappears from our backups within 7 days of that.

Liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages arising from your use of Foundry365.

Nothing in these terms limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited.

Law

These terms are governed by the laws of England and Wales. Any dispute will be subject to the exclusive jurisdiction of the courts of England and Wales.

Changes

If these terms change materially we will tell account holders by email and date the change here.
